Ambassador Program Terms & Conditions

These Terms govern participation in the Flossei Ambassador Program (the "Program"), operated by [LEGAL ENTITY NAME] (ABN [ABN]) trading as Flossei. By applying to or participating in the Program you agree to these Terms.

1. Eligibility

You must be at least 18 years old.
You must have a public social media account or platform relevant to your audience.
You must comply with the terms of every platform you post on.
We may accept or decline any application at our sole discretion, without providing reasons.

2. Your Ambassador Assets

On approval we issue you a unique discount code and tracking link. These are personal to you and must not be shared with, sold to, or transferred to another party. Codes posted to coupon aggregators, cashback sites, deal forums or paid-media placements may be deactivated without notice and associated commission forfeited.

3. Commission

Commission is calculated on the net product subtotal of a qualifying order — excluding shipping, taxes and any other discounts applied.
The applicable rate is your current tier rate at the time the order is placed.
Commission is earned only on orders that are successfully paid, dispatched and not refunded, cancelled or charged back.
Orders you place yourself, or that are placed using your own payment method or address, are not eligible.
Commission is not payable on orders that used a different discount code, unless we state otherwise in writing.

4. Payment

Commissions are calculated at the end of each calendar month and paid within [14] days of the following month, after the applicable return window has closed.
A minimum payout threshold of [$50] AUD applies. Balances below the threshold roll over to the next period.
Payments are made by [bank transfer / PayPal] in Australian Dollars. You are responsible for supplying accurate payment details.
You are responsible for your own tax obligations arising from Program income, including any GST registration and reporting requirements.
Where a customer refunds or charges back an order after commission has been paid, we may deduct that amount from future commission.

5. Tiers

Tier placement is reviewed monthly based on tracked qualifying sales. Tier benefits, thresholds and commission rates may be changed by us on reasonable notice. Changes are not applied retrospectively to commission already earned.

6. Content Standards & Disclosure

You agree that all content promoting Flossei will:

Clearly and prominently disclose the commercial relationship (for example #ad, #sponsored, or the platform's paid-partnership label), consistent with ACCC guidance on influencer marketing and the AANA Code of Ethics.
Be truthful and reflect your genuine experience of the product.
Not make therapeutic, medical or dental claims — including any claim that Flossei treats, cures, prevents or diagnoses gum disease, decay or any other condition.
Not misrepresent product specifications, pricing, guarantees or warranty terms.
Not disparage competitors in a misleading or unsubstantiated way.
Not contain unlawful, discriminatory, hateful, sexually explicit or otherwise offensive material.
Not target or appeal primarily to children.

7. Advertising Restrictions

Without our prior written consent you must not:

Bid on “Flossei” or confusingly similar terms in paid search
Run paid social advertising using Flossei branding
Register domains, handles or accounts containing “Flossei”
Represent yourself as an employee, agent or official spokesperson of Flossei
Make offers, guarantees or commitments on our behalf

8. Intellectual Property

We grant you a limited, revocable, non-exclusive, non-transferable licence to use Flossei names, logos and supplied creative assets solely to promote Flossei under these Terms. This licence ends immediately when your participation ends.

In turn, you grant Flossei a non-exclusive, royalty-free, worldwide, perpetual licence to reuse, repost, edit and repurpose content you create featuring Flossei across our owned channels, website and paid advertising. You confirm you hold all necessary rights to grant this, including rights to any music, footage or likeness featured.

9. Free Product

Products supplied at no charge remain gifts, not payment for guaranteed coverage. They may attract tax consequences for you depending on your circumstances. Free product is provided on the same warranty terms as retail product.

10. Term & Termination

Either party may end participation at any time, for any reason, by written notice. We may suspend or terminate immediately, and withhold unpaid commission, where we reasonably believe you have:

Breached these Terms
Engaged in fraudulent, self-referring or artificially inflated activity
Published content that damages Flossei's reputation or breaches Australian Consumer Law

On termination you must stop using all Flossei assets and remove or update active promotional content on request.

11. Relationship

Nothing in these Terms creates an employment, partnership, agency or joint venture relationship. You participate as an independent party.

12. Liability

To the maximum extent permitted by law, our total liability to you in connection with the Program is limited to the commission properly payable to you in the three months before the relevant claim. Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.
